SOLVED’s Terms of Service

These Terms of Service ("Terms") govern your use of SOLVED's App, Website, Branding Services, Photography & Videography, Data Dashboard, Apps+, Coaching, and CTLE Courses (collectively, the "Services").

By accessing or using our Services, you agree to these Terms. If you do not agree, please refrain from using the Services.

1. Definitions

  • "SOLVED," "we", "our", or "us" refers to SOLVED Consulting.
  • "User" or "you" refers to anyone accessing or using our Services.

2. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old (or have parental consent) and are legally able to enter into these Terms.

SOLVED provides:

  • App & Website – Digital platforms for educational and organizational support.
  • Branding – Consulting and creative services for brand identity.
  • Photography & Videography – Professional media production.
  • Data Dashboard – Analytical tools for educational and business insights.
  • Apps+ – Teacher tools that increase efficiency.
  • Coaching – Professional development and educational coaching.
  • CTLE Courses – Continuing Teacher and Leader Education (CTLE) certified courses.

Some Services may have additional terms, policies, or agreements. By using these Services, you agree to those additional conditions.

4. User Responsibilities

You agree to:

  • Use the Services only for lawful purposes.
  • Not engage in unauthorized access, reverse engineering, or data scraping.
  • Comply with all applicable laws, including data protection and privacy laws.
  • Keep account credentials secure and notify us of any unauthorized access.

We reserve the right to suspend or terminate accounts engaging in prohibited activities.

5. Data Privacy & Security

6. Intellectual Property

For Branding, Photography & Videography services, ownership rights may be subject to a separate agreement outlining licensing terms.

7. Payment & Billing

For Services requiring payment:

  • Fees are outlined in service agreements or invoices.
  • Payments are non-refundable unless otherwise stated.
  • Late payments may result in service suspension.

Third-Party Services: Some services (e.g., Apps+, Data Dashboards) may integrate with third-party platforms (e.g., Salesforce, AWS, Google Suite). You agree to their respective terms when using those integrations.

8. Service Availability & Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted service. SOLVED may update, discontinue, or modify the Services at any time.
We will provide reasonable notice for material changes affecting your usage

9. Limitation of Liability

To the fullest extent permitted by law, SOLVED is not liable for:

  • Indirect, incidental, or consequential damages.
  • Losses due to unauthorized access, cybersecurity incidents, or third-party services.
  • Service interruptions caused by external factors (e.g., internet outages, force majeure events).

Total liability is capped at the amount paid for the specific service in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold SOLVED harmless from any claims, damages, or legal fees arising from your misuse of the Services or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend access without notice if you

  • Violate these Terms.
  • Engage in unlawful activities.
  • Compromise our security or systems.

You may discontinue use of the Services at any time. Termination does not relieve you of any outstanding payment obligations.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York. Any disputes will be resolved through binding arbitration in New York County, NY, unless both parties agree otherwise.

13. Changes to These Terms

We may update these Terms periodically. If changes materially impact your rights, we will notify you via email or on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
